1. Acceptance of these terms
These Terms of Service (the “Terms”) are a binding agreement between you and RemoteHost, Inc., a Delaware corporation (“RemoteHost”, “we”, “us”). They govern your use of remotehost.ai, the RemoteHost console, the remote command-line and terminal clients, the desktop application, the RemoteHost API, Agent Claims, the sandboxes we provision for you, and any related documentation or services (together, the “Service”).
By creating an account, installing a client, calling the API, or otherwise using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to it. An organization that has signed a separate written agreement with RemoteHost is governed by that agreement where it conflicts with these Terms.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to children, and we do not knowingly collect information from anyone under 13.
You are responsible for your account and for everything that happens under it, including activity by people you invite to your organization and by the agents and automations you run. Keep your credentials, API tokens, and passkeys confidential, and tell us at support@remotehost.ai promptly if you believe your account has been compromised. You must provide accurate account and billing information and keep it current.
Organization owners and administrators control who can join their organization, what those members can do, and what happens to a member’s sandboxes when they are removed. We act on instructions from an organization’s administrators.
3. The Service
RemoteHost provisions isolated virtual machines (“sandboxes”) on infrastructure we operate, lets you attach to them from our clients or through the API, and lets coding agents such as Claude Code or Codex run inside them. Sandboxes may persist between sessions through snapshots or may be created with a time-to-live after which they are deleted, as you configure.
We may change, add, or remove features of the Service, including machine shapes, base images, regions, and included tooling, and we may set and change limits on usage such as concurrent sandboxes, session length, storage, and network traffic. Where a change materially reduces core functionality you are paying for, we will use reasonable efforts to give you advance notice.
Features labeled beta, preview, early access, or similar are provided for evaluation, may be changed or withdrawn at any time, and are excluded from any service commitments we make elsewhere.
We may suspend a sandbox, an account, or an organization without notice if we reasonably believe it is being used in violation of these Terms, is compromised, or is degrading the Service for others. We will restore access when the issue is resolved where it is reasonable to do so.
4. Your content and code
You retain all rights in the source code, repositories, data, prompts, credentials, configuration, and other material you or your agents place in the Service (“Your Content”), including anything an agent produces inside your sandboxes. We claim no ownership of it.
You grant RemoteHost a limited, non-exclusive license to host, store, snapshot, transmit, and display Your Content solely as needed to provide, secure, and support the Service and as you direct. We do not use Your Content to train machine-learning models, and we do not access the contents of your sandboxes except to operate the Service, to respond to your support request, to investigate suspected abuse, or as required by law.
You are responsible for Your Content and for having the rights you need to use it with the Service, including rights to any third-party code, data, or credentials you bring. You are responsible for maintaining your own copies of anything important. Sandboxes and snapshots are not a backup service, and content in a deleted or expired sandbox is not recoverable.
If you give us feedback or suggestions about the Service, we may use them without obligation to you.
5. Acceptable use
Sandboxes are full machines, and we give you a great deal of latitude in what you run on them. You may not use the Service, or allow an agent to use it, to:
- violate any law, or infringe or misappropriate anyone’s intellectual property, privacy, or other rights;
- attack, probe, scan, or gain unauthorized access to any system, network, or account, including other RemoteHost customers, other than systems you own or are explicitly authorized to test;
- send spam or unsolicited messages, run phishing or fraud, or distribute malware;
- mine cryptocurrency, run proxies or exit nodes for third parties, or otherwise use sandboxes primarily for compute or bandwidth unrelated to software development;
- launch denial-of-service attacks, or generate traffic intended to overwhelm any service;
- attempt to escape a sandbox, interfere with our infrastructure or other tenants, or circumvent usage limits, billing, or security controls;
- resell or provide the Service to third parties as a competing hosted product, except through the API in a product of your own that adds material value;
- store or process data that you are not permitted to place with a third-party host.
You are responsible for the actions of agents you run in the Service to the same extent as if you had taken them yourself. We may investigate suspected violations and remove content or suspend access as described above.
6. Plans, fees, and billing
Paid plans, their monthly fees, included allowances, and usage rates are described on our pricing page, which forms part of these Terms. Prices are in US dollars and exclude taxes unless stated.
Subscriptions. Plans are billed monthly in advance and renew automatically until cancelled. Seat-based plans are billed per seat, subject to the stated minimum. You may cancel at any time from the console; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where required by law.
Usage. Machine time and other metered usage beyond your plan’s included allowance is billed at the rates on the pricing page, in arrears, based on our measurements. Usage accrues while a sandbox is running and stops when it is stopped or deleted. You are responsible for usage generated by your agents and automations, including usage you did not intend.
Trials. Where we offer a free trial, it converts to a paid subscription at the end of the trial period unless you cancel first. We may limit trial usage or eligibility.
Payment. Payments are processed by Stripe. You authorize us to charge your payment method for all fees when due. If a payment fails, we may suspend the Service after notice until the balance is paid. You are responsible for any applicable sales, use, VAT, GST, or similar taxes other than taxes on our income.
Price changes. We may change plan prices and usage rates with at least 30 days’ notice by email or in the console. Changes apply from your next billing period after the notice period.
7. Third-party services and agent credentials
The Service interoperates with third-party services you choose to connect, such as GitHub or GitLab for repository access, and model providers such as Anthropic or OpenAI whose API keys you may supply so that agents can run inside your sandboxes. Your use of those services is governed by their own terms, and you are responsible for the fees they charge you and for keeping your use of them within their policies.
Credentials you provide are stored encrypted and injected into your sandboxes as you direct. You may remove them at any time. We are not responsible for the availability, output, or conduct of third-party services or of the agents that use them.
Base images may include open-source software governed by its own licenses. Those licenses govern your use of that software.
8. Intellectual property
The Service, including our software, clients, images, documentation, designs, and trademarks, is owned by RemoteHost and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and to install and run our clients for the purpose of using the Service.
Except where a component ships under its own license, whose terms then govern that component, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service, or remove any proprietary notices. 9. Confidentiality and security
We maintain administrative, technical, and physical safeguards designed to protect the Service and Your Content, as described in our Privacy Policy. Sandboxes run as isolated virtual machines, and we do not access their contents except as described in these Terms.
Each of us will keep the other’s non-public information confidential and use it only as needed under these Terms, except where disclosure is required by law, in which case the disclosing party will give reasonable notice where permitted. Nothing in this section restricts a party’s use of information that is public, independently developed, or rightfully received from someone else.
If you discover a security vulnerability in the Service, please report it to support@remotehost.ai before disclosing it publicly.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within 10 days of notice, immediately for breaches that cannot be cured or that threaten the Service or others, if your account is unpaid after notice, or if we discontinue the Service with at least 30 days’ notice.
On termination your right to use the Service ends, and running sandboxes are stopped. We will make Your Content available for export for a reasonable period (at least 30 days, except in cases of abuse or legal requirement) and then delete it in the ordinary course of our systems. Fees accrued before termination remain payable.
Sections that by their nature should survive, including those on your content, fees, intellectual property, disclaimers, limitation of liability, indemnification, and disputes, survive termination.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, RemoteHost and its suppliers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or secure, that sandboxes or snapshots will be preserved, or that the output of any agent run in the Service will be accurate, safe, or fit for any purpose.
Coding agents can make mistakes, take unintended actions, and produce code that does not work or that you should not ship. You are responsible for reviewing what they produce and for what you do with it. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law, RemoteHost and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service or these Terms, however caused and under any theory of liability, even if advised of the possibility of such damages. Our total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of the amounts you paid us in the 12 months before the event giving rise to the claim and 100 US dollars.
These limitations do not apply to liability that cannot be limited by law, or to either party’s indemnification obligations, breach of confidentiality, or infringement of the other’s intellectual property.
13. Indemnification
You will defend, indemnify, and hold harmless RemoteHost and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service in violation of these Terms or applicable law, the actions of agents or automations you run, or your violation of any third party’s rights.
RemoteHost will defend you against any third-party claim that the Service, as provided by us and used in accordance with these Terms, infringes that party’s intellectual property rights, and will pay resulting damages and costs finally awarded or agreed in settlement. This does not cover claims arising from Your Content, third-party services, open-source components, modifications not made by us, or use after we have offered a non-infringing alternative.
The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defense and settlement (no settlement may impose obligations on the indemnified party without its consent), and provide reasonable cooperation.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, each party agrees to try to resolve the dispute informally by emailing the other (for RemoteHost, at hello@remotehost.ai) and negotiating in good faith for at least 30 days. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
To the extent permitted by law, each party waives the right to a jury trial and agrees that claims may be brought only on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.
15. Changes to these terms
We may update these Terms from time to time. When we make material changes we will post the revised Terms here with a new “last updated” date and, for changes that reduce your rights or increase your obligations, notify account holders by email or in the console at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to a change, stop using the Service and close your account before it takes effect.
16. General terms
These Terms, together with the Privacy Policy, the pricing page, and any order form or written agreement you have with us, are the entire agreement between you and RemoteHost about the Service and supersede any prior agreements on that subject. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. A failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our prior written consent, except to a successor in a merger or acquisition of substantially all of your assets who agrees to be bound by them. We may assign these Terms to an affiliate or a successor. Neither party is liable for delays or failures caused by events beyond its reasonable control. The parties are independent contractors, and there are no third-party beneficiaries. Notices to RemoteHost must be sent to the address below; notices to you may be sent to the email on your account.
You may not use or export the Service in violation of US export laws and sanctions, and you represent that you are not located in, or a national of, a country or on a list subject to US sanctions.
